Job Description:
• Review and advise on all corporate governance arrangements, keeping the Founder, Chairman and CEO, Senior Management, and Board of Trustees informed about relevant developments.
• Provide specialized advice and guidance on governance, legality, risk, compliance, and business conduct, managing and reconciling conflicting views on governance issues.
• Ensure compliance with applicable standards of corporate governance and maintain the necessary infrastructure to support the governance rationale and framework.
• Ensure the organization operates in compliance with all legal and regulatory frameworks, including codes of governance and practice.
• Provide comprehensive legal services covering inquests, employment law, litigation, commercial and contract law, and other judicial processes.
• Develop and manage legal and compliance procedural documents (policies, procedures, protocols, and guidance) and ensure their implementation.
• Issue notifications to relevant parties regarding legal matters.
• Draft, review, and negotiate contracts, Memorandums of Understanding (MOUs), and other legal documents as required by the company.
• Handle the registration of perpetual lease rights.
• Monitor and advise on the suitability and efficacy of risk management provisions.
• Identify and address any non-compliance with applicable Codes of Conduct and Accountability.
• Highlight any areas of unmanaged or unique risks to the Founder, Chairman and CEO, Senior Management, and Board of Trustees.
• Manage in-house legal staff and external legal service contracts, including associated budgets.
• Establish and communicate procedures for management to seek and obtain legal advice.
• Ensure that legal advice is sought when necessary and that it is acted upon in a timely and appropriate manner.
• Resolve disputes through arbitration or mediation, and represent the company in litigation or other judicial processes if necessary.
• Protect the company's rights and interests, acting as the representative in disputes or legal challenges.
• Educate employees on legal matters relevant to the company's operations and ensure they understand legal requirements.
• Handle debt resolution processes outside of the court system to avoid unnecessary litigation.
• Train employees and interns in the use of Open Office software for Khmer language document editing.
• Monitor the implementation of contracts to ensure compliance and performance, and take corrective action where necessary.
• Conduct legal research on relevant laws, regulations, and legal precedents to support the company’s operations and decision-making processes.
• Provide regular updates to senior management on new laws and regulations that may affect the organization.
• Maintain a repository of legal documents, precedents, and research materials for reference and training purposes.
Job Requirements:
• Master’s Degree in Law, private law, and corporate law
• Minimum of 5years of experience in as legal manager role, preferably in the education sector or a related field Strong knowledge in commercial and business laws, civil code, civil procedure, legal statutes and legislations on construction, development, and land laws.
• Fluency in Khmer and English is required. Proficiency in additional languages is a plus.
